How freelance services and business engagements with Virtus Optio are agreed.

Who these terms are for
Virtus Optio provides freelance services relating to sales, business growth and client relationships to business clients acting in a professional or commercial capacity. These terms are intended for those engagements.
Virtus Optio is registered with the Netherlands Chamber of Commerce under KVK number 95111492. Contact us at [email protected] or on WhatsApp: +31 6 16125169.
Agreeing an engagement
An engagement starts when we agree the proposal or other written engagement terms. Those terms identify the services, deliverables, fees, timing and responsibilities. Visiting this website or sending an enquiry does not by itself create a paid engagement.
These general terms apply when they are provided and agreed as part of the engagement. A specific written agreement takes precedence over these general terms where the two differ. We will make the applicable terms available before the engagement is concluded.
Scope and collaboration
We carry out the agreed work with reasonable professional care. Advice and practical support depend on the information, access and cooperation the client provides. Sales results also depend on factors outside our control; an engagement does not guarantee a particular amount of revenue or number of customers.
The client is responsible for providing accurate information, timely decisions and lawful access to the systems and materials needed for the assignment. Both parties remain responsible for complying with the laws that apply to their own activities.
Changes to the scope, deliverables, timetable or fees should be agreed in writing before the additional or revised work starts.
Fees and payment
The proposal or engagement agreement specifies the fees, any applicable VAT, approved expenses, invoicing arrangements and payment deadline. Additional costs require agreement. If something on an invoice appears incorrect, please contact us promptly so we can resolve it.
Confidentiality and personal data
Both parties must protect confidential information received through the engagement and use it only for the agreed work. Disclosure is limited to people who need it for that purpose and are bound by appropriate confidentiality obligations, or where disclosure is required by law. This does not cover information that is already lawfully public or independently obtained.
Our Privacy Policy explains how we handle website and enquiry information. Where an assignment involves processing personal data on a client's behalf, a separate, assignment-specific Data Processing Agreement must be agreed before that processing starts.
Materials and intellectual property
Each party retains rights in its pre-existing materials. The engagement agreement specifies the ownership or licence for deliverables, including any permission to reuse them. The client must have the necessary rights to any materials it supplies. Sharing confidential work, client names or case studies publicly requires the relevant permission.
Rescheduling, cancellation and ending an engagement
Please contact us as soon as possible if you need to change or end an assignment. The agreed proposal governs notice periods, rescheduling, payment for completed work and any cancellation charges. A cancellation charge is not created merely by this website page.
The statutory consumer cooling-off period generally does not apply to business engagements. See Right of Withdrawal for more information.
Questions, complaints and liability
If you have a concern about the work, email [email protected], describing the assignment and the issue. We will discuss a practical resolution with you.
Liability is governed by applicable law and any valid provisions in the written engagement agreement. Nothing in these terms excludes rights or liability that cannot lawfully be excluded. Dutch law applies to the engagement unless the parties agree otherwise in writing, subject to mandatory law.
Changes to these terms
The version agreed for an engagement continues to apply to that engagement unless the parties agree a change. Updating this page does not automatically change an existing agreement.
